Оферта об оказании услуг
1.1. Термины и определения, используемые в настоящей Оферте, означают следующее:

1.1.2. Ресурс и/или Платформа – веб-сайты, расположенные по адресу: https://elpodium.org, https://smmelpodium.getcourse.ru, включая все страницы, любое их содержимое (информацию), программное обеспечение, предлагаемое Исполнителем к использованию, а также любые их функции.
1.1.3. Студент – любое физическое лицо, достигшее возраста 18 лет, обладающее полной для своего возраста дееспособностью, ознакомившееся с условиями Оферты и акцептовавшее Оферту.
1.1.4. Курс – платный Курс, рассчитанный на определенное количество часов изучения, который может включать в себя набор теоретических, практических, аудиовизуальных Материалов для изучения, возможности сопровождения Студента в рамках освоения Курса практикующим специалистом Ресурса (наставником, тьютором, тренером, иным) или иные возможности. Количество часов изучения в рамках Курса зависит от выбранного Студентом Курса и определяется в описании Курса, размещенном на Ресурсе. Максимальный срок освоения Курса может быть ограничен. По окончании прохождения Курса Студенту может выдаваться документ, подтверждающий завершение Курса. Такой документ выдается по форме, установленной Исполнителем, в случае если в описании Курса на Ресурсе была установлена выдача такого документа. Изучение Курса происходит в группах Студентов – Потоках. Сведения о формировании Потоков, о дате начала Курса, о сроке прохождения Курса и дате завершения Курса указаны на Ресурсе.
1.1.5. Оферта – настоящий документ, расположенный на Ресурсе в сети Интернет по адресу: https://elpodium.org/oferta.
1.1.6. Договор – договор об оказании услуг, заключенный между Исполнителем и Студентом в письменной форме путем обмена электронными документами, а именно путем акцепта Студентом Оферты в порядке, предусмотренном в разделе 4 настоящей Оферты. Предмет Договора установлен разделом 2 настоящей Оферты.
1.1.7. Личный кабинет – специальный подраздел https://smmelpodium.getcourse.ru, позволяющий зарегистрированному и авторизованному Студенту получить доступ к управлению Персональной информацией Студента, к управлению полученным и Страница 1 из 12 приобретенным Студентом Курсам, к Материалам, предоставленным в рамках Курса.
1.1.8. Адрес электронной почты – адрес электронной почты Стороны. Адресом электронной почты Исполнителя является адрес электронной почты, указанный в разделе 11 Оферты. Адресом электронной почты Студента является адрес электронной почты, указанный и подтвержденный Студентом при регистрации на Ресурсе и/или указанный и подтвержденный Студентом в Личном кабинете.
1.1.9. Регулирующие документы – документы, которыми регулируются правоотношения Студента и Исполнителя. К Регулирующим документам, наравне с настоящей Офертой, относятся:
А) Политика конфиденциальности – документ, размещенный в сети Интернет по адресу: https://elpodium.org/policy, определяющая правила и условия обработки Исполнителем Персональной информации Студента;
Б) Информация (содержимое) Ресурса – любая информация, опубликованная Исполнителем на Ресурсе и доступная посетителю Ресурса на законных основаниях. Все документы, перечисленные в настоящем пункте 1.1.9. Договора, называются вместе «Регулирующие документы», а каждый из них по отдельности называется «Регулирующий документ». Все Регулирующие документы, вне зависимости от того, применимы ли они к конкретному лицу, всегда выступают как приложения к настоящему Договору, являются его неотъемлемой частью и имеют такую же юридическую силу и действие, как если бы они были определены или воспроизведены в основной части Договора, и любая ссылка на Оферту/Договор автоматически включает в себя ссылку на все Регулирующие документы.
1.1.10. Поток – группа Студентов, вместе изучающая выбранный такими Студентами Курс. Сведения о формировании Потока отображаются на Ресурсе.
1.1.11. Платежная система – третье лицо Stripe, Inc., оказывающее Студенту по его запросу услуги по осуществлению расчетов Студента с Исполнителем, такие услуги оказываются непосредственно Платежной системой без участия Исполнителя в порядке и на условиях, установленных в: Условия обслуживания потребителей, доступном по адресу: https://stripe.com/en-pl/legal/consumer. По обязательствам, возникающим из пользования услугами Платежной системы Студентом, отвечает перед Студентом непосредственно Платежная система, включая и действия по созданию Привязанной банковской карты.
1.1.12. Привязанная банковская карта – одна или несколько банковских карт Студента, данные которых указаны Студентом при использовании Ресурса и доступны Исполнителю в Ресурсе, в том числе – в Личном кабинете Студента. Привязка банковской карты может требовать совершения пробного подтверждающего платежа: перечисления проверочной суммы безналичных денежных средств с карты Студента в распоряжение Платежной системы с последующей отменой совершенного платежа и возвратом проверочной суммы на карту Студента или без такого возврата. Указание данных банковской карты и привязка банковской карты производятся Студентом в порядке, закрепленном на Ресурсе и в документах, регулирующих пользование услугами Платежной системы.
1.1.13. Самостоятельные задания – задания для самостоятельной работы Студента, размещенные на Ресурсе.
1.1.14. Стоимость или Цена договора – стоимость всех заказанных Студентом Услуг.
1.1.15. Стороны – совместное упоминание Исполнителя и Студента, Сторона – упоминание Исполнителя и Студента по отдельности.
1.1.16. Сумма возврата – Стоимость или часть Стоимости, подлежащая возврату по заявлению Студента в соответствии с условиями Оферты.
1.1.17. Материалы – любая информация (текст, аудио, видео, любая иная форма и содержание), доступ к которой предоставлен Исполнителем Студенту в ходе исполнения Договора.
1.1.18. Услуги – услуги, оказываемые Исполнителем Студенту и заключающиеся в предоставлении Исполнителем Студенту возможности доступа Студента в дистанционной форме (при помощи сети Интернет) к выбранным Студентом на Ресурсе Курсу/Курсам в порядке и на условиях, установленных Регулирующими документами.

1.1.2. Ресурс и/или Платформа – веб-сайты, расположенные по адресу: https://elpodium.org, https://smmelpodium.getcourse.ru, включая все страницы, любое их содержимое (информацию), программное обеспечение, предлагаемое Исполнителем к использованию, а также любые их функции.
1.1.3. Студент – любое физическое лицо, достигшее возраста 18 лет, обладающее полной для своего возраста дееспособностью, ознакомившееся с условиями Оферты и акцептовавшее Оферту.
1.1.4. Курс – платный Курс, рассчитанный на определенное количество часов изучения, который может включать в себя набор теоретических, практических, аудиовизуальных Материалов для изучения, возможности сопровождения Студента в рамках освоения Курса практикующим специалистом Ресурса (наставником, тьютором, тренером, иным) или иные возможности. Количество часов изучения в рамках Курса зависит от выбранного Студентом Курса и определяется в описании Курса, размещенном на Ресурсе. Максимальный срок освоения Курса может быть ограничен. По окончании прохождения Курса Студенту может выдаваться документ, подтверждающий завершение Курса. Такой документ выдается по форме, установленной Исполнителем, в случае если в описании Курса на Ресурсе была установлена выдача такого документа. Изучение Курса происходит в группах Студентов – Потоках. Сведения о формировании Потоков, о дате начала Курса, о сроке прохождения Курса и дате завершения Курса указаны на Ресурсе.
1.1.5. Оферта – настоящий документ, расположенный на Ресурсе в сети Интернет по адресу: https://elpodium.org/oferta.
1.1.6. Договор – договор об оказании услуг, заключенный между Исполнителем и Студентом в письменной форме путем обмена электронными документами, а именно путем акцепта Студентом Оферты в порядке, предусмотренном в разделе 4 настоящей Оферты. Предмет Договора установлен разделом 2 настоящей Оферты.
1.1.7. Личный кабинет – специальный подраздел https://smmelpodium.getcourse.ru, позволяющий зарегистрированному и авторизованному Студенту получить доступ к управлению Персональной информацией Студента, к управлению полученным и Страница 1 из 12 приобретенным Студентом Курсам, к Материалам, предоставленным в рамках Курса.
1.1.8. Адрес электронной почты – адрес электронной почты Стороны. Адресом электронной почты Исполнителя является адрес электронной почты, указанный в разделе 11 Оферты. Адресом электронной почты Студента является адрес электронной почты, указанный и подтвержденный Студентом при регистрации на Ресурсе и/или указанный и подтвержденный Студентом в Личном кабинете.
1.1.9. Регулирующие документы – документы, которыми регулируются правоотношения Студента и Исполнителя. К Регулирующим документам, наравне с настоящей Офертой, относятся:
А) Политика конфиденциальности – документ, размещенный в сети Интернет по адресу: https://elpodium.org/policy, определяющая правила и условия обработки Исполнителем Персональной информации Студента;
Б) Информация (содержимое) Ресурса – любая информация, опубликованная Исполнителем на Ресурсе и доступная посетителю Ресурса на законных основаниях. Все документы, перечисленные в настоящем пункте 1.1.9. Договора, называются вместе «Регулирующие документы», а каждый из них по отдельности называется «Регулирующий документ». Все Регулирующие документы, вне зависимости от того, применимы ли они к конкретному лицу, всегда выступают как приложения к настоящему Договору, являются его неотъемлемой частью и имеют такую же юридическую силу и действие, как если бы они были определены или воспроизведены в основной части Договора, и любая ссылка на Оферту/Договор автоматически включает в себя ссылку на все Регулирующие документы.
1.1.10. Поток – группа Студентов, вместе изучающая выбранный такими Студентами Курс. Сведения о формировании Потока отображаются на Ресурсе.
1.1.11. Платежная система – третье лицо Stripe, Inc., оказывающее Студенту по его запросу услуги по осуществлению расчетов Студента с Исполнителем, такие услуги оказываются непосредственно Платежной системой без участия Исполнителя в порядке и на условиях, установленных в: Условия обслуживания потребителей, доступном по адресу: https://stripe.com/en-pl/legal/consumer. По обязательствам, возникающим из пользования услугами Платежной системы Студентом, отвечает перед Студентом непосредственно Платежная система, включая и действия по созданию Привязанной банковской карты.
1.1.12. Привязанная банковская карта – одна или несколько банковских карт Студента, данные которых указаны Студентом при использовании Ресурса и доступны Исполнителю в Ресурсе, в том числе – в Личном кабинете Студента. Привязка банковской карты может требовать совершения пробного подтверждающего платежа: перечисления проверочной суммы безналичных денежных средств с карты Студента в распоряжение Платежной системы с последующей отменой совершенного платежа и возвратом проверочной суммы на карту Студента или без такого возврата. Указание данных банковской карты и привязка банковской карты производятся Студентом в порядке, закрепленном на Ресурсе и в документах, регулирующих пользование услугами Платежной системы.
1.1.13. Самостоятельные задания – задания для самостоятельной работы Студента, размещенные на Ресурсе.
1.1.14. Стоимость или Цена договора – стоимость всех заказанных Студентом Услуг.
1.1.15. Стороны – совместное упоминание Исполнителя и Студента, Сторона – упоминание Исполнителя и Студента по отдельности.
1.1.16. Сумма возврата – Стоимость или часть Стоимости, подлежащая возврату по заявлению Студента в соответствии с условиями Оферты.
1.1.17. Материалы – любая информация (текст, аудио, видео, любая иная форма и содержание), доступ к которой предоставлен Исполнителем Студенту в ходе исполнения Договора.
1.1.18. Услуги – услуги, оказываемые Исполнителем Студенту и заключающиеся в предоставлении Исполнителем Студенту возможности доступа Студента в дистанционной форме (при помощи сети Интернет) к выбранным Студентом на Ресурсе Курсу/Курсам в порядке и на условиях, установленных Регулирующими документами.
2.1. Предметом Оферты является оказание Исполнителем Услуг Студенту, в порядке и на условиях, предусмотренных Офертой.
2.2. Описание Курса в рамках Ресурса, а также полная Стоимость, порядок и способы оплаты Стоимости, размещены на Ресурсе.
2.3. В случае акцепта Оферты Студентом, Исполнитель обязуется оказать Студенту Услуги в рамках Курса на возмездной основе согласно Стоимости, а Студент обязуется принять оказанные Услуги и оплатить Исполнителю их Стоимость.
2.4. Все Материалы, предоставляемые Исполнителем в рамках Курса, становятся доступными Студенту для самостоятельного изучения с момента, установленного на Ресурсе для соответствующего Курса.
2.5. В случае если Студент направляется организацией (юридическим лицом или индивидуальным предпринимателем, организацией любой иной формы), то получателем Услуг будет считаться такой Студент, а не Организация, даже если Организация осуществит оплату Стоимости или части Стоимости Услуг за такого Студента в соответствии с Договором. Осуществляя направление студента на Ресурс, осуществляя оплату Стоимости или части Стоимости Услуг, оказываемых Студенту, такая Организация и сам Студент совместно подтверждают, что полномочный представитель Организации полностью ознакомлен и не имеет возражений с условиями Договора, заключаемого Исполнителем со Студентом. Исключения из этого правила действительны, если оформлены отдельным соглашением с участием Исполнителя и Организации.
2.2. Описание Курса в рамках Ресурса, а также полная Стоимость, порядок и способы оплаты Стоимости, размещены на Ресурсе.
2.3. В случае акцепта Оферты Студентом, Исполнитель обязуется оказать Студенту Услуги в рамках Курса на возмездной основе согласно Стоимости, а Студент обязуется принять оказанные Услуги и оплатить Исполнителю их Стоимость.
2.4. Все Материалы, предоставляемые Исполнителем в рамках Курса, становятся доступными Студенту для самостоятельного изучения с момента, установленного на Ресурсе для соответствующего Курса.
2.5. В случае если Студент направляется организацией (юридическим лицом или индивидуальным предпринимателем, организацией любой иной формы), то получателем Услуг будет считаться такой Студент, а не Организация, даже если Организация осуществит оплату Стоимости или части Стоимости Услуг за такого Студента в соответствии с Договором. Осуществляя направление студента на Ресурс, осуществляя оплату Стоимости или части Стоимости Услуг, оказываемых Студенту, такая Организация и сам Студент совместно подтверждают, что полномочный представитель Организации полностью ознакомлен и не имеет возражений с условиями Договора, заключаемого Исполнителем со Студентом. Исключения из этого правила действительны, если оформлены отдельным соглашением с участием Исполнителя и Организации.
3.1. Студент имеет право:
3.1.1. Получать информацию об условиях оказания Услуг Исполнителем и иную информацию в отношении Услуг способами, указанными на Ресурсе. В случае возникновения вопросов обратиться в службу поддержки Исполнителя по Адресу электронной почты.
3.1.2. Приобрести Курс за ту Стоимость, которая указана на Ресурсе в момент подачи Студентом заявки на прохождение Курса.
3.1.3. Отказаться от приобретенного Курса и расторгнуть Договор в соответствии с разделом 7 Оферты. Такой отказ влечет за собой прекращение всех предусмотренных Офертой обязательств и обязанностей Исполнителя перед Студентом. В случае расторжения Договора Студенту не выдается справка с указанием объема Курса, пройденного Студентом.
3.1.4. Реализовывать иные права Заказчика Услуг, предоставляемые Студенту в соответствии с применимым законодательством.
3.1.5. Осуществлять перерыв в изучении Курса по согласованию с Исполнителем. Студент информирует Исполнителя о таком перерыве путём направления заявки по Адресу электронной почты Исполнителя. При этом Исполнитель может отказать Студенту в предоставлении такого перерыва, если такой перерыв не возможен по каким-либо причинам любого характера.
3.2. Студент обязан:
3.2.1. Подробно ознакомиться с Офертой, с другими Регулирующими документами и принять их в полном объеме при акцепте Оферты.
3.2.2. Воздерживаться от любых действий, которые нарушают права Исполнителя на результаты интеллектуальной деятельности, в частности, не копировать, не записывать, не воспроизводить, не распространять любые результаты интеллектуальной деятельности Исполнителя без письменного разрешения Исполнителя, немедленно сообщать Исполнителю о любых ставших известными фактах нарушения исключительных прав Исполнителя.
3.2.3. Не предоставлять свои аутентификационные данные для доступа к Ресурсу, данные Привязанной банковской карты никаким третьим лицам.
3.2.4. При акцепте Оферты предоставить Исполнителю необходимую информацию, включающую в себя фамилию, имя Студента, номер телефона Студента, адрес электронной почты Студента, а также иную информацию, перечень которой определен в анкетах, предоставляемых Студенту для заполнения при заказе Услуг и в процессе оказания Услуг. Студент признает, что не имеет никаких претензий к Исполнителю за некорректно предоставленные Студентом данные в случае, если Студент сам не удостоверился в их корректности во время заказа Услуг и в процессе оказания Услуг.
3.2.5. Выполнять самостоятельные задания в сроки и в порядке, предусмотренном условиями соответствующего Курса. При выполнении заданий не использовать выполненные задания и/или части выполненных заданий других Студентов или любых иных третьих лиц.
3.2.6. Соблюдать при использовании Ресурса правила нравственности и этического поведения по отношению к любым лицам, в том числе, но не ограничиваясь: не использовать ненормативную лексику, не оскорблять, не осуществлять дискриминирующих высказываний по любым основаниям, не осуществлять иных противоправных и антиморальных действий в отношении любых лиц, соблюдать все правила Регулирующих документов в части поведения. 3.2.7. До начала Курса своего Потока оплатить Стоимость, указанную на Ресурсе, в порядке, предусмотренном п. 5.3. Оферты.
3.3. Исполнитель имеет право:
3.3.1. Требовать от Студента предоставить Исполнителю информацию, необходимую для оказания Исполнителем Услуг, а также оплаты Стоимости обучения в порядке и на условиях, изложенных в Регулирующих документах, приостановить оказание любых Услуг и/или приостановить доступ Студента к Ресурсу или отдельным функциям Ресурса до предоставления затребованной информации.
3.3.2. Устанавливать и/или изменять Стоимость в одностороннем порядке и в любое время, разместив соответствующую информацию на Ресурсе. Студент соглашается с тем, что он самостоятельно будет отслеживать такие изменения на Ресурсе и в случае, если изменения были опубликованы на Ресурсе, Студент не вправе ссылаться на неинформированность о них.
3.3.3. Отказать Студенту в оказании Услуг при несоблюдении Студентом любого из положений Регулирующего документа.
3.3.4. При расторжении Договора ограничить возможность Студента использовать Материалы.
3.4. Исполнитель обязан:
3.4.1. Оказать Студенту Услуги в соответствии с Регулирующими документами.
3.4.2. Предоставлять Студенту по его запросу информацию об условиях оказания Услуг Исполнителем.
3.4.3. Не использовать персональные данные Студента, предоставленные Исполнителю в ходе исполнения Договора, для целей, не относящихся к исполнению Политики конфиденциальности.
3.4.4. Вносить изменения в Курс. Студент соглашается с тем, что он самостоятельно будет отслеживать такие изменения на Ресурсе и в случае, если изменения были опубликованы на Ресурсе, Студент не вправе ссылаться на неинформированность о них.
3.1.1. Получать информацию об условиях оказания Услуг Исполнителем и иную информацию в отношении Услуг способами, указанными на Ресурсе. В случае возникновения вопросов обратиться в службу поддержки Исполнителя по Адресу электронной почты.
3.1.2. Приобрести Курс за ту Стоимость, которая указана на Ресурсе в момент подачи Студентом заявки на прохождение Курса.
3.1.3. Отказаться от приобретенного Курса и расторгнуть Договор в соответствии с разделом 7 Оферты. Такой отказ влечет за собой прекращение всех предусмотренных Офертой обязательств и обязанностей Исполнителя перед Студентом. В случае расторжения Договора Студенту не выдается справка с указанием объема Курса, пройденного Студентом.
3.1.4. Реализовывать иные права Заказчика Услуг, предоставляемые Студенту в соответствии с применимым законодательством.
3.1.5. Осуществлять перерыв в изучении Курса по согласованию с Исполнителем. Студент информирует Исполнителя о таком перерыве путём направления заявки по Адресу электронной почты Исполнителя. При этом Исполнитель может отказать Студенту в предоставлении такого перерыва, если такой перерыв не возможен по каким-либо причинам любого характера.
3.2. Студент обязан:
3.2.1. Подробно ознакомиться с Офертой, с другими Регулирующими документами и принять их в полном объеме при акцепте Оферты.
3.2.2. Воздерживаться от любых действий, которые нарушают права Исполнителя на результаты интеллектуальной деятельности, в частности, не копировать, не записывать, не воспроизводить, не распространять любые результаты интеллектуальной деятельности Исполнителя без письменного разрешения Исполнителя, немедленно сообщать Исполнителю о любых ставших известными фактах нарушения исключительных прав Исполнителя.
3.2.3. Не предоставлять свои аутентификационные данные для доступа к Ресурсу, данные Привязанной банковской карты никаким третьим лицам.
3.2.4. При акцепте Оферты предоставить Исполнителю необходимую информацию, включающую в себя фамилию, имя Студента, номер телефона Студента, адрес электронной почты Студента, а также иную информацию, перечень которой определен в анкетах, предоставляемых Студенту для заполнения при заказе Услуг и в процессе оказания Услуг. Студент признает, что не имеет никаких претензий к Исполнителю за некорректно предоставленные Студентом данные в случае, если Студент сам не удостоверился в их корректности во время заказа Услуг и в процессе оказания Услуг.
3.2.5. Выполнять самостоятельные задания в сроки и в порядке, предусмотренном условиями соответствующего Курса. При выполнении заданий не использовать выполненные задания и/или части выполненных заданий других Студентов или любых иных третьих лиц.
3.2.6. Соблюдать при использовании Ресурса правила нравственности и этического поведения по отношению к любым лицам, в том числе, но не ограничиваясь: не использовать ненормативную лексику, не оскорблять, не осуществлять дискриминирующих высказываний по любым основаниям, не осуществлять иных противоправных и антиморальных действий в отношении любых лиц, соблюдать все правила Регулирующих документов в части поведения. 3.2.7. До начала Курса своего Потока оплатить Стоимость, указанную на Ресурсе, в порядке, предусмотренном п. 5.3. Оферты.
3.3. Исполнитель имеет право:
3.3.1. Требовать от Студента предоставить Исполнителю информацию, необходимую для оказания Исполнителем Услуг, а также оплаты Стоимости обучения в порядке и на условиях, изложенных в Регулирующих документах, приостановить оказание любых Услуг и/или приостановить доступ Студента к Ресурсу или отдельным функциям Ресурса до предоставления затребованной информации.
3.3.2. Устанавливать и/или изменять Стоимость в одностороннем порядке и в любое время, разместив соответствующую информацию на Ресурсе. Студент соглашается с тем, что он самостоятельно будет отслеживать такие изменения на Ресурсе и в случае, если изменения были опубликованы на Ресурсе, Студент не вправе ссылаться на неинформированность о них.
3.3.3. Отказать Студенту в оказании Услуг при несоблюдении Студентом любого из положений Регулирующего документа.
3.3.4. При расторжении Договора ограничить возможность Студента использовать Материалы.
3.4. Исполнитель обязан:
3.4.1. Оказать Студенту Услуги в соответствии с Регулирующими документами.
3.4.2. Предоставлять Студенту по его запросу информацию об условиях оказания Услуг Исполнителем.
3.4.3. Не использовать персональные данные Студента, предоставленные Исполнителю в ходе исполнения Договора, для целей, не относящихся к исполнению Политики конфиденциальности.
3.4.4. Вносить изменения в Курс. Студент соглашается с тем, что он самостоятельно будет отслеживать такие изменения на Ресурсе и в случае, если изменения были опубликованы на Ресурсе, Студент не вправе ссылаться на неинформированность о них.
4.1. Оказание Услуг Студенту производится исключительно на условиях Оферты только в случае полного и безоговорочного принятия Студентом условий Оферты (акцепта Оферты). Частичный акцепт либо акцепт при условии / на условиях не допускается. Если Студент не принимает в полном объеме условия Оферты и других Регулирующих документов, на которые Оферта ссылается, оказание ему Услуг Исполнителем не производится.
4.2. Акцептом Оферты считается последовательное осуществление Студентом следующих действий:
4.2.1. Выбор Студентом Курса на Ресурсе и нажатие кнопки «Зарегистрироваться», «Получить курс», «Начать учиться» или подобной по смыслу;
4.2.2. Успешная завершенная авторизация на Ресурсе;
4.2.3. Ознакомление Студента с Офертой и другими Регулирующими документами; 4.2.4. Проставление Студентом чек-бокса («галочки») в поле с текстом «Я принимаю условия Оферты и Политики конфиденциальности».
4.3. С момента совершения всех действий, указанных в пунктах 4.2.1. – 4.2.3. Оферта считается акцептованной Студентом, что является подтверждением заключения Договора.
4.4. Для акцепта Оферты физическое лицо может быть зарегистрировано/авторизовано с помощью Ресурса, либо с помощью учетной записи, предоставленной третьим лицом (опция «Войти с помощью…»), в последнем случае таким третьим лицом могут быть установлены дополнительные правила регистрации/авторизации, с которыми акцептант обязуется ознакомиться самостоятельно и которые Исполнитель не определяет.
4.2. Акцептом Оферты считается последовательное осуществление Студентом следующих действий:
4.2.1. Выбор Студентом Курса на Ресурсе и нажатие кнопки «Зарегистрироваться», «Получить курс», «Начать учиться» или подобной по смыслу;
4.2.2. Успешная завершенная авторизация на Ресурсе;
4.2.3. Ознакомление Студента с Офертой и другими Регулирующими документами; 4.2.4. Проставление Студентом чек-бокса («галочки») в поле с текстом «Я принимаю условия Оферты и Политики конфиденциальности».
4.3. С момента совершения всех действий, указанных в пунктах 4.2.1. – 4.2.3. Оферта считается акцептованной Студентом, что является подтверждением заключения Договора.
4.4. Для акцепта Оферты физическое лицо может быть зарегистрировано/авторизовано с помощью Ресурса, либо с помощью учетной записи, предоставленной третьим лицом (опция «Войти с помощью…»), в последнем случае таким третьим лицом могут быть установлены дополнительные правила регистрации/авторизации, с которыми акцептант обязуется ознакомиться самостоятельно и которые Исполнитель не определяет.
5.1. Для заказа Услуги Студент самостоятельно выбирает Курс, доступ к которому он хотел бы получить от Исполнителя, из числа Курсов, предложенных на Ресурсе, акцептует Оферту и другие Регулирующие документы и заключает Договор. При регистрации на Ресурсе (с созданием Личного кабинета на Ресурсе или без) Студент передает Исполнителю всю необходимую информацию о себе, перечень которой определен в п. 3.2.4. Оферты, а также, при желании, передает Исполнителю дополнительную информацию, перечень обрабатываемой Исполнителем информации о Студенте, условия и правила ее обработки определен в Политике конфиденциальности.
5.2. Стоимость и порядок оплаты указываются на Ресурсе.
5.3. Студент оплачивает Стоимость Курса в порядке перечисления Исполнителю безналичных денежных средств путем выбора одного из способов оплаты из числа предложенных на Ресурсе.
5.4. Оплата третьим лицом за Студента осуществляется в общем порядке.
5.5. Оплата по общему правилу осуществляется посредством списания в пользу Исполнителя безналичных денежных средств с Привязанной банковской карты Студента. На Ресурсе могут быть предложены иные формы оплаты как всех Курсов, так и отдельных Курсов, выбранных Исполнителем
5.6. Доступ к Курсу предоставляется только после совершения платежа.
5.7. Списание денежных средств в соответствии с настоящим разделом 5 Оферты начинает происходить на автоматической основе лишь при соблюдении следующих условий: А) акцепта Оферты; Б) ввода Студентом всех необходимых реквизитов Привязанной карты; В) активации Ресурса Платежной системы по списанию денежных средств на автоматической основе с Привязанной карты следующим способом: путем простановки Студентом чек-бокса («галочки») в поле «Автоматически списывать средства» или аналогичного по смыслу.
5.8. Подтверждение совершения оплаты предоставляется Студенту Платежной системой по правилам, установленным применимым законодательством и правилами Платежной системы.
5.9. Стоимость Курса считается оплаченной Студентом с момента перечисления полной Стоимости на расчетный счет Исполнителя.
5.10.Перечисленная Студентом Стоимость начинает ежедневно списываться равными частями в течение всего срока освоения Курса, начиная с даты начала Курса для Потока, указанной на Ресурсе, в том числе и в течение взятого Студентом перерыва в освоении Курса.
5.11.Исполнитель вправе расторгнуть Договор и прекратить доступ Студента ко всем Материалам и Курсам в любое время, уведомив об этом Студента по Адресу электронной почты и/или в Личном кабинете или иным способом, предусмотренным Регулирующим документом, в следующих случаях:
А) неоплата Студентом в срок платежа, предусмотренного Офертой;
Б) нарушение Студентом правил Регулирующего документа;
В) предоставление Студентом неверной, искаженной или оскорбительной для третьих лиц информации;
Г) несоблюдение правил нравственности и этического поведения по отношению к любым лицам, в том числе, но не ограничиваясь: использование ненормативной лексику, оскорбления, дискриминирующие высказывания по любым основаниям, иные противоправные или аморальные действия в отношении любых лиц.
5.2. Стоимость и порядок оплаты указываются на Ресурсе.
5.3. Студент оплачивает Стоимость Курса в порядке перечисления Исполнителю безналичных денежных средств путем выбора одного из способов оплаты из числа предложенных на Ресурсе.
5.4. Оплата третьим лицом за Студента осуществляется в общем порядке.
5.5. Оплата по общему правилу осуществляется посредством списания в пользу Исполнителя безналичных денежных средств с Привязанной банковской карты Студента. На Ресурсе могут быть предложены иные формы оплаты как всех Курсов, так и отдельных Курсов, выбранных Исполнителем
5.6. Доступ к Курсу предоставляется только после совершения платежа.
5.7. Списание денежных средств в соответствии с настоящим разделом 5 Оферты начинает происходить на автоматической основе лишь при соблюдении следующих условий: А) акцепта Оферты; Б) ввода Студентом всех необходимых реквизитов Привязанной карты; В) активации Ресурса Платежной системы по списанию денежных средств на автоматической основе с Привязанной карты следующим способом: путем простановки Студентом чек-бокса («галочки») в поле «Автоматически списывать средства» или аналогичного по смыслу.
5.8. Подтверждение совершения оплаты предоставляется Студенту Платежной системой по правилам, установленным применимым законодательством и правилами Платежной системы.
5.9. Стоимость Курса считается оплаченной Студентом с момента перечисления полной Стоимости на расчетный счет Исполнителя.
5.10.Перечисленная Студентом Стоимость начинает ежедневно списываться равными частями в течение всего срока освоения Курса, начиная с даты начала Курса для Потока, указанной на Ресурсе, в том числе и в течение взятого Студентом перерыва в освоении Курса.
5.11.Исполнитель вправе расторгнуть Договор и прекратить доступ Студента ко всем Материалам и Курсам в любое время, уведомив об этом Студента по Адресу электронной почты и/или в Личном кабинете или иным способом, предусмотренным Регулирующим документом, в следующих случаях:
А) неоплата Студентом в срок платежа, предусмотренного Офертой;
Б) нарушение Студентом правил Регулирующего документа;
В) предоставление Студентом неверной, искаженной или оскорбительной для третьих лиц информации;
Г) несоблюдение правил нравственности и этического поведения по отношению к любым лицам, в том числе, но не ограничиваясь: использование ненормативной лексику, оскорбления, дискриминирующие высказывания по любым основаниям, иные противоправные или аморальные действия в отношении любых лиц.
6.1. Для того, чтобы привязать банковскую карту к Ресурсу, Студент должен через Ресурс предоставить Платежной системе и Исполнителю следующие категории данных: А) номер банковской карты; Б) срок действия банковской карты; В) защитный код банковской карты. Если данные банковской карты верны, действительны и использование данной карты в рамках Ресурса технически возможно, указанная банковская карта приобретает статус Привязанной и может быть использована для оплаты Стоимости.
6.2. При указании данных из п. 6.1. Договора и при дальнейшем использовании Привязанной карты Студент подтверждает и гарантирует указание им достоверной и полной информации о действительной банковской карте, выданной на его имя; соблюдение им правил международных платежных систем и требований банка-эмитента, выпустившего Привязанную карту, в том числе в отношении порядка проведения безналичных расчетов. Нарушение этих правил будет считаться существенным нарушением Договора.
6.3. Исполнитель оставляет за собой право в любой момент потребовать от Студента (пользователя Ресурса) подтверждения данных, указанных им в рамках Ресурса, в том числе данных Привязанной карты, и запросить в связи с этим подтверждение личности пользователя Ресурса путем как личного присутствия в офисе Исполнителя, так и предоставление подтверждающих документов в электронном виде (в частности, документов, удостоверяющих личность).
6.2. При указании данных из п. 6.1. Договора и при дальнейшем использовании Привязанной карты Студент подтверждает и гарантирует указание им достоверной и полной информации о действительной банковской карте, выданной на его имя; соблюдение им правил международных платежных систем и требований банка-эмитента, выпустившего Привязанную карту, в том числе в отношении порядка проведения безналичных расчетов. Нарушение этих правил будет считаться существенным нарушением Договора.
6.3. Исполнитель оставляет за собой право в любой момент потребовать от Студента (пользователя Ресурса) подтверждения данных, указанных им в рамках Ресурса, в том числе данных Привязанной карты, и запросить в связи с этим подтверждение личности пользователя Ресурса путем как личного присутствия в офисе Исполнителя, так и предоставление подтверждающих документов в электронном виде (в частности, документов, удостоверяющих личность).
7.1. Возврат денежных средств за приобретенный Студентом Курс возможен лишь в порядке и на условиях, установленных Офертой. В силу действующего законодательства положения настоящего раздела 7 Исполнитель также излагает на отдельной странице Ресурса о порядке возвратов: https://elpodium.org/refund .
7.2. Исполнитель обязуется возвратить Студенту на банковскую карту, с которой осуществлялась оплата Стоимости, Сумму возврата за вычетом Стоимости количества дней с даты начала Курса для Потока Студента в рамках Курса до дня подачи заявки на возврат включительно. Сумма возврата рассчитывается Исполнителем с первого рабочего дня, следующего за датой отказа Студента от Курса путем подачи заявки по Адресу электронной почты.
7.3. Сумма возврата определяется по следующим формулам:
7.3.1. Стоимость одного дня Курса рассчитывается по формуле: D = X / N1, где D – Стоимость за один день Курса, X – Стоимость Курса, N1 – количество дней Курса.
7.3.2. Сумма возврата Курса рассчитывается по формуле: S = P – Y x N2, где S – Сумма возврата, Y — Стоимость обучения за один день Курса по Программе обучения, P — Стоимость, оплаченная Студентом; N2 — количество дней с даты начала Курса для Потока Студента до первого рабочего дня, следующего за датой отказа Студента от Курса.
7.4. Исполнитель вправе удержать из Суммы возврата фактически понесенные Исполнителем расходы на исполнение Договора.
7.5. Исполнитель не возмещает Студенту никакие убытки: прямые, непрямые, косвенные, дополнительные, реальный ущерб, упущенную выгоду и так далее.
7.6. Срок возврата денежных средств Исполнителем составляет 10 (десять) календарных дней с момента направления Студентом уведомления об отказе Студента от Курса, при условии своевременного и полного предоставления Студентом документов, необходимых для возврата.
7.7. Услуги, оказанные в течение соответствующего периода, считаются оказанными Исполнителем надлежащем образом и принятыми Студентом в полном объеме, если в течение трех календарных дней по завершении периода оказания Услуг Исполнитель не получил от Студента мотивированных письменных возражений.
7.8. Акт об оказанных Услугах формируется Исполнителем в электронном виде и направляется Студенту в электронном виде по Адресу электронной почты Студента только по предварительному запросу Студента, направленному по Адресу электронной почты Исполнителя. Отчетным периодом для целей Акта является календарный месяц. За исключением обязанности предоставить такой Акт, Исполнитель не обязан предоставлять Студенту документы, включая отчеты любого рода.
7.2. Исполнитель обязуется возвратить Студенту на банковскую карту, с которой осуществлялась оплата Стоимости, Сумму возврата за вычетом Стоимости количества дней с даты начала Курса для Потока Студента в рамках Курса до дня подачи заявки на возврат включительно. Сумма возврата рассчитывается Исполнителем с первого рабочего дня, следующего за датой отказа Студента от Курса путем подачи заявки по Адресу электронной почты.
7.3. Сумма возврата определяется по следующим формулам:

Акт об оказанных Услугах формируется Исполнителем в электронном виде и направляется Студенту в электронном виде по Адресу электронной почты Студента только по предварительному запросу Студента, направленному по Адресу электронной почты Исполнителя. Отчетным периодом для целей Акта является календарный месяц. За исключением обязанности предоставить такой Акт, Исполнитель не обязан предоставлять Студенту документы, включая отчеты любого рода.
8.1. Договор вступает в силу с момента акцепта Оферты и действует бессрочно. Допускается прекращение Договора по воле одной из Сторон. Такое прекращение не будет считаться односторонним отказом от обязательств. Правила Договора при этом продолжат применяться ко всему периоду с момента заключения Договора до момента его прекращения по воле одной из Сторон. Изложенный порядок прекращения действия применяется по умолчанию ко всем Регулирующим документам, если в соответствующем Регулирующем документе прямо не предусмотрен иной порядок прекращения его действия.
8.2. В случае отчуждения Исполнителем прав на Ресурс в пользу третьего лица (например, при продаже или иной передаче бизнеса или части бизнеса), Студент настоящим дает согласие на переуступку (перевод) всех прав и обязательств по настоящему Договору на это третье лицо и на новацию обязательств.
8.3. Исполнитель имеет право изменять условия Регулирующего документа, в связи с чем Студент принимает на себя обязательство самостоятельно проверять актуальность текста последнего. Исполнитель считается изменившим условия Регулирующего документа, а Студент – осознающим факт внесения изменений, в момент размещения таких изменений на Ресурсе. Утратившие силу редакции Регулирующего документа доступны на Ресурсе в архиве.
8.4. Продолжение Студентом использования Ресурса после внесения Исполнителем изменений в текст Регулирующего документа означает акцепт оферты Регулирующего документа в новой редакции и согласие Студента с предложенным изменением.
8.5. Если какое-либо положение Оферты является или становится недействительным в силу противоречия или внесения изменений в действующее законодательство, то это не является основанием для приостановления действия остальных положений Оферты.
8.6. Во всем ином, что не предусмотрено текстом Оферты, Стороны руководствуются действующим законодательством Республики Литва.
8.2. В случае отчуждения Исполнителем прав на Ресурс в пользу третьего лица (например, при продаже или иной передаче бизнеса или части бизнеса), Студент настоящим дает согласие на переуступку (перевод) всех прав и обязательств по настоящему Договору на это третье лицо и на новацию обязательств.
8.3. Исполнитель имеет право изменять условия Регулирующего документа, в связи с чем Студент принимает на себя обязательство самостоятельно проверять актуальность текста последнего. Исполнитель считается изменившим условия Регулирующего документа, а Студент – осознающим факт внесения изменений, в момент размещения таких изменений на Ресурсе. Утратившие силу редакции Регулирующего документа доступны на Ресурсе в архиве.
8.4. Продолжение Студентом использования Ресурса после внесения Исполнителем изменений в текст Регулирующего документа означает акцепт оферты Регулирующего документа в новой редакции и согласие Студента с предложенным изменением.
8.5. Если какое-либо положение Оферты является или становится недействительным в силу противоречия или внесения изменений в действующее законодательство, то это не является основанием для приостановления действия остальных положений Оферты.
8.6. Во всем ином, что не предусмотрено текстом Оферты, Стороны руководствуются действующим законодательством Республики Литва.
9.1. Студент соглашается получать от Исполнителя сообщения по Адресу электронной почты и/или на номер телефона, указанные Студентом при использовании функций Ресурса (далее – «Нотификации»).
9.2. Студент вправе отозвать свое согласие на получение Нотификаций.
9.3. Исполнитель вправе использовать Нотификации для: А) информирования о работе функций Платформы; Б) информирования об изменении Регулирующих документов; В) направления сообщений и рассылок информационного характера; Г) направления сообщений и рассылок рекламного характера при условии получения согласия способом, соответствующим требованиям законодательства.
9.4. Студент в свою очередь обязуется направлять все сообщения, уведомления, заявления и документы (включая и сообщения, которые представляют собой ответы на Нотификации) по Адресу электронной почты Исполнителя. Документы, которые по мнению Исполнителя имеют юридическое значение, Исполнитель вправе запросить в бумажном виде. Такие документы, а также документы, которые Студент сам считает необходимым направить в бумажном виде, направляются по адресу места нахождения Исполнителя, указанному в разделе 11 Оферты.
9.2. Студент вправе отозвать свое согласие на получение Нотификаций.
9.3. Исполнитель вправе использовать Нотификации для: А) информирования о работе функций Платформы; Б) информирования об изменении Регулирующих документов; В) направления сообщений и рассылок информационного характера; Г) направления сообщений и рассылок рекламного характера при условии получения согласия способом, соответствующим требованиям законодательства.
9.4. Студент в свою очередь обязуется направлять все сообщения, уведомления, заявления и документы (включая и сообщения, которые представляют собой ответы на Нотификации) по Адресу электронной почты Исполнителя. Документы, которые по мнению Исполнителя имеют юридическое значение, Исполнитель вправе запросить в бумажном виде. Такие документы, а также документы, которые Студент сам считает необходимым направить в бумажном виде, направляются по адресу места нахождения Исполнителя, указанному в разделе 11 Оферты.
10.1. Применимое законодательство и юрисдикция
10.1.1. Местом заключения и местом исполнения Регулирующих документов всегда является место нахождения Исполнителя, а правом, применимым к отношениям Сторон, всегда является право Республики Литва, вне зависимости от того, где находится Студент или оборудование, используемое для заключения и исполнения Регулирующего документа.
10.1.2. Любые исключения из этого правила действительны только в том случае, если они согласованы в составе отдельного письменного соглашения Сторон.
10.1.3. Регулирующие документы не могут быть конфиденциальными, если их оферты публичны, но непубличные соглашения, заключенные в связи с Регулирующими документами – могут.
10.1.4. В случае вступления в силу изменений в законодательство, делающих невозможным и (или) существенно затрудняющих исполнение каких-либо положений Регулирующего документа, Стороны обязуются заключить новый Регулирующий документ в такой редакции, чтобы он содержал изменения, приводящие его в соответствие с измененными требованиями законодательства и в наибольшей возможной степени соответствующие первоначальным целям его заключения.
10.2. Правила толкования
10.2.1. В случае, если Регулирующий документ доступен на нескольких языках, правовой приоритет при толковании имеет версия на английском языке.
10.2.2. Термины «соглашение» и «договор» равнозначны для всех Регулирующих документов.
10.2.3. Считается, что в каждом Регулирующем документе за словами «включают», «включает» и «включая» всегда следует словосочетание «но не ограничиваясь», которое не ограничивает общего характера того, что предшествует этим словам.
10.2.4. Считается, что в каждом Регулирующем документе слово «или» понимается по умолчанию как перечисление, то есть аналогично «и», если из смысла текста прямо не следует, что слово «или» обозначает именно выбор одного из вариантов.
10.2.5. Считается, что в каждом Регулирующем документе значение Слова, использованного с Заглавной буквы, ничем не отличается от значения этого же слова, использованного со строчной буквы.
10.3. Разрешение споров и разногласий
10.3.1. Все споры и разногласия, возникающие между Сторонами, будут разрешаться в претензионном порядке. Претензия подлежит передаче Стороне в электронном виде по Адресу электронной почты, с приложением документов, обосновывающих предъявляемые требования. Поступившая претензия рассматривается Стороной в течение 30 (тридцати) рабочих дней с момента ее поступления.
10.3.2. Все споры и разногласия, не решенные в претензионном порядке, разрешаются исключительно соответствующим судом по месту нахождения Исполнителя.
10.4. Ответственность
10.4.1. Студент несет всю ответственность согласно действующему законодательству за последствия, возникшие в результате предоставления им недостоверной или заведомо ложной информации, и несет ответственность за нарушение прав и интересов других лиц в результате таких действий. Студент соглашается с тем, что в случае предоставления им Исполнителю недостоверной или заведомо ложной информации, Исполнитель оставляет за собой право отказать Студенту в оказании Услуг даже при условии оплаты Студентом Стоимости.
10.4.2. Исполнитель не несет ответственность за несоответствие ожиданиям Студента и/или его/её субъективной оценке Ресурса, Курсов, работников Исполнителя, иных привлеченных Исполнителем к исполнению Договора лиц.
10.4.3. В любом случае размер ответственности Исполнителя в связи с исполнением Договора не может превышать Стоимость, реально оплаченную Студентом Исполнителю.
10.5. Реклама
10.5.1. Исполнитель несет ответственность за рекламу, размещенную на Ресурсе, в пределах, установленных применимым законодательством.
10.6. Стимулирующие и маркетинговые мероприятия
10.6.1. Исполнитель вправе проводить стимулирующие и маркетинговые акции и мероприятия, в том числе долгосрочные. Проведение таких мероприятий регулируется соответствующими разделами Регулирующих документов, а в случаях, когда закон требует опубликовать условия или правила такого мероприятия в виде отдельного документа, проведение мероприятия дополнительно регулируется такими опубликованными отдельно условиями и правилами.
10.7. Ссылки на ресурсы третьих лиц
10.7.1. Ресурс и/или Нотификации, полученные Студентом от Исполнителя, могут содержать ссылки на другие сайты в сети интернет, владельцами и администраторами которых являются третьи лица. Указанные третьи лица и их данные не проверяются и не должны проверяться Исполнителем на соответствие требованиям достоверности, полноты, законности. Исполнитель не несет ответственности за информацию, размещенную на сайтах третьих лиц, к которым Студент получает доступ, самостоятельно переходя на них с Платформы, в том числе за любые утверждения, призывы, предложения, оферты, рекламу, а также за доступность таких сайтов или таких данных и за последствия их использования Студентом. Размещенная на Платформе ссылка в любой форме на любой сайт, продукт, товар, услугу, любую информацию коммерческого или некоммерческого вида, не является одобрением или рекомендацией данных продуктов (услуг, деятельности) со стороны Исполнителя.
10.8. Разрешение электронных подписей
10.8.1. Во взаимоотношениях Сторон могут использоваться электронные документы, удостоверенные простой электронной подписью.
10.8.2. Простой электронной подписью будет признаваться электронная подпись, которая подтверждает факт формирования электронной подписи именно Стороной посредством применения одного из следующих ключей: А) логина и пароля на Ресурсе; Б) адреса электронной почты, указанного и подтвержденного на Ресурсе.
10.8.3. Электронные документы, подписанные простой электронной подписью, признаются равнозначными документам на бумажных носителях, подписанным собственноручной подписью Стороны.
10.8.4. Исполнитель определяет Студента, которому соответствует простая электронная подпись, по используемому Студентом логину и паролю в случае совершения любых действий по использованию функций Ресурса, либо по используемому Студентом адресу электронной почты в случае поступления сообщений с такого адреса.
10.8.5. Любые действия, совершенные с использованием простой электронной подписи определенного Студента, считаются совершенными таким Студентои. 10.8.6. В случае несанкционированного доступа к ключу, состоящему из логина и пароля, в случае его утраты или раскрытия третьим лицам Студент обязан незамедлительно сообщить об этом Исполнителю путем направления сообщения по Адресу электронной почты Исполнителя.
10.8.7. В случае несанкционированного доступа к электронной почте, в случае утраты данных для доступа к ней или раскрытия данных для доступа к ней третьим лицам, Студент обязан незамедлительно заменить такой адрес на новый в настойках Ресурса и затем сообщить о данных событиях путем направления сообщения с нового адреса электронной почты по Адресу электронной почты Исполнителя.
10.9. Предоставление Ресурса «как есть»
10.9.1. Стороны признают, что Ресурс является сложным технологичным объектом, который требует постоянного обслуживания, в том числе постоянного внесения в него изменений и тестирования этих изменений. Все функции Ресурса и сам Ресурс предоставляются Исполнителем в использование в правовом режиме «как есть» (“as is”), что разрешено применимым законодательством при предоставлении права использовать программное обеспечение. Это включает следующее:
А) Исполнитель не принимает никакую ответственность за соответствие Ресурса целям, ожиданиям, представлениям, вкусам, идеям Пользователя;
Б) Исполнитель не может гарантировать, что функции Ресурса всегда будут предоставляться непрерывно, быстро, надежно, без ошибок, что результаты, которые могут быть получены с использованием Ресурса, будут точными и надежными и могут использоваться для каких-либо целей или в каком-либо качестве;
В) Ни при каких обстоятельствах Ресурс не может рассматриваться как надежный и достоверный инструмент определения фактов, в том числе – фактов, имеющих юридическое значение;
Г) Студент самостоятельно оценивает совместимость своего оборудования с функциями Ресурса, самостоятельно конфигурирует своё оборудование для обмена данными с Ресурсом, самостоятельно несет риск последствий использования функций Ресурса на своем оборудовании, в том числе за ущерб, который это использование может причинить оборудованию Студента или оборудованию третьих лиц, включая потерю данных и любой вред;
Д) Исполнитель не несет ответственность за любые виды убытков, произошедших вследствие использования Ресурса в целом или отдельных его функций;
Е) Так как Ресурс постоянно находится в стадии дополнения и обновления функциональных возможностей, а время от времени находится в режиме тестирования новых функций, то форма, вид, характер, характеристики функций Ресурса могут время от времени меняться без предварительного уведомления
Студента и без отражения каждого такого изменения в каких-либо Регулирующих документах. Исполнитель вправе по собственному усмотрению прекратить или изменить (временно или окончательно) предоставление отдельных функций всем пользователям Ресурса, отдельным категориям пользователей или конкретному пользователю в частности, без предварительного уведомления.
Ж) Исполнитель вправе устанавливать ограничения в использовании отдельных функций Ресурса для всех пользователей, для отдельных категорий пользователей, для конкретного пользователя.
10.1.1. Местом заключения и местом исполнения Регулирующих документов всегда является место нахождения Исполнителя, а правом, применимым к отношениям Сторон, всегда является право Республики Литва, вне зависимости от того, где находится Студент или оборудование, используемое для заключения и исполнения Регулирующего документа.
10.1.2. Любые исключения из этого правила действительны только в том случае, если они согласованы в составе отдельного письменного соглашения Сторон.
10.1.3. Регулирующие документы не могут быть конфиденциальными, если их оферты публичны, но непубличные соглашения, заключенные в связи с Регулирующими документами – могут.
10.1.4. В случае вступления в силу изменений в законодательство, делающих невозможным и (или) существенно затрудняющих исполнение каких-либо положений Регулирующего документа, Стороны обязуются заключить новый Регулирующий документ в такой редакции, чтобы он содержал изменения, приводящие его в соответствие с измененными требованиями законодательства и в наибольшей возможной степени соответствующие первоначальным целям его заключения.
10.2. Правила толкования
10.2.1. В случае, если Регулирующий документ доступен на нескольких языках, правовой приоритет при толковании имеет версия на английском языке.
10.2.2. Термины «соглашение» и «договор» равнозначны для всех Регулирующих документов.
10.2.3. Считается, что в каждом Регулирующем документе за словами «включают», «включает» и «включая» всегда следует словосочетание «но не ограничиваясь», которое не ограничивает общего характера того, что предшествует этим словам.
10.2.4. Считается, что в каждом Регулирующем документе слово «или» понимается по умолчанию как перечисление, то есть аналогично «и», если из смысла текста прямо не следует, что слово «или» обозначает именно выбор одного из вариантов.
10.2.5. Считается, что в каждом Регулирующем документе значение Слова, использованного с Заглавной буквы, ничем не отличается от значения этого же слова, использованного со строчной буквы.
10.3. Разрешение споров и разногласий
10.3.1. Все споры и разногласия, возникающие между Сторонами, будут разрешаться в претензионном порядке. Претензия подлежит передаче Стороне в электронном виде по Адресу электронной почты, с приложением документов, обосновывающих предъявляемые требования. Поступившая претензия рассматривается Стороной в течение 30 (тридцати) рабочих дней с момента ее поступления.
10.3.2. Все споры и разногласия, не решенные в претензионном порядке, разрешаются исключительно соответствующим судом по месту нахождения Исполнителя.
10.4. Ответственность
10.4.1. Студент несет всю ответственность согласно действующему законодательству за последствия, возникшие в результате предоставления им недостоверной или заведомо ложной информации, и несет ответственность за нарушение прав и интересов других лиц в результате таких действий. Студент соглашается с тем, что в случае предоставления им Исполнителю недостоверной или заведомо ложной информации, Исполнитель оставляет за собой право отказать Студенту в оказании Услуг даже при условии оплаты Студентом Стоимости.
10.4.2. Исполнитель не несет ответственность за несоответствие ожиданиям Студента и/или его/её субъективной оценке Ресурса, Курсов, работников Исполнителя, иных привлеченных Исполнителем к исполнению Договора лиц.
10.4.3. В любом случае размер ответственности Исполнителя в связи с исполнением Договора не может превышать Стоимость, реально оплаченную Студентом Исполнителю.
10.5. Реклама
10.5.1. Исполнитель несет ответственность за рекламу, размещенную на Ресурсе, в пределах, установленных применимым законодательством.
10.6. Стимулирующие и маркетинговые мероприятия
10.6.1. Исполнитель вправе проводить стимулирующие и маркетинговые акции и мероприятия, в том числе долгосрочные. Проведение таких мероприятий регулируется соответствующими разделами Регулирующих документов, а в случаях, когда закон требует опубликовать условия или правила такого мероприятия в виде отдельного документа, проведение мероприятия дополнительно регулируется такими опубликованными отдельно условиями и правилами.
10.7. Ссылки на ресурсы третьих лиц
10.7.1. Ресурс и/или Нотификации, полученные Студентом от Исполнителя, могут содержать ссылки на другие сайты в сети интернет, владельцами и администраторами которых являются третьи лица. Указанные третьи лица и их данные не проверяются и не должны проверяться Исполнителем на соответствие требованиям достоверности, полноты, законности. Исполнитель не несет ответственности за информацию, размещенную на сайтах третьих лиц, к которым Студент получает доступ, самостоятельно переходя на них с Платформы, в том числе за любые утверждения, призывы, предложения, оферты, рекламу, а также за доступность таких сайтов или таких данных и за последствия их использования Студентом. Размещенная на Платформе ссылка в любой форме на любой сайт, продукт, товар, услугу, любую информацию коммерческого или некоммерческого вида, не является одобрением или рекомендацией данных продуктов (услуг, деятельности) со стороны Исполнителя.
10.8. Разрешение электронных подписей
10.8.1. Во взаимоотношениях Сторон могут использоваться электронные документы, удостоверенные простой электронной подписью.
10.8.2. Простой электронной подписью будет признаваться электронная подпись, которая подтверждает факт формирования электронной подписи именно Стороной посредством применения одного из следующих ключей: А) логина и пароля на Ресурсе; Б) адреса электронной почты, указанного и подтвержденного на Ресурсе.
10.8.3. Электронные документы, подписанные простой электронной подписью, признаются равнозначными документам на бумажных носителях, подписанным собственноручной подписью Стороны.
10.8.4. Исполнитель определяет Студента, которому соответствует простая электронная подпись, по используемому Студентом логину и паролю в случае совершения любых действий по использованию функций Ресурса, либо по используемому Студентом адресу электронной почты в случае поступления сообщений с такого адреса.
10.8.5. Любые действия, совершенные с использованием простой электронной подписи определенного Студента, считаются совершенными таким Студентои. 10.8.6. В случае несанкционированного доступа к ключу, состоящему из логина и пароля, в случае его утраты или раскрытия третьим лицам Студент обязан незамедлительно сообщить об этом Исполнителю путем направления сообщения по Адресу электронной почты Исполнителя.
10.8.7. В случае несанкционированного доступа к электронной почте, в случае утраты данных для доступа к ней или раскрытия данных для доступа к ней третьим лицам, Студент обязан незамедлительно заменить такой адрес на новый в настойках Ресурса и затем сообщить о данных событиях путем направления сообщения с нового адреса электронной почты по Адресу электронной почты Исполнителя.

Terms of service
1.1. The terms and definitions used in this Offer shall mean the following:
1.1.1. Contractor – Company name MB "Elpodium" Legal form Small Partnership Register code 306696578 Address Vilniaus r. sav., Riešės sen., Raudondvario k., Žirgų g. 18-6, LT-14257 VAT ID LT100017950312 Contacts by post or by e-mail agency@elpodium.org
1.1.2. Resource or Platform - websites located at: https://elpodium.org, https://smmelpodium.getcourse.ru, including all pages, any of their content (information), software offered by the Contractor for use, as well as any of their functions.
1.1.3. Student - any individual who has reached the age of 18 years, who has full legal capacity for his age, who has read the terms of the Offer and accepted the Offer.
1.1.4. Course – a paid Course designed for a certain number of hours of study, which may include a set of theoretical, practical, audiovisual Materials for study, options for supporting the Student as part of mastering the Course by a practicing specialist of the Resource (mentor, tutor, trainer, etc.) or other options. The number of hours of study as part of the Course depends on the Course chosen by the Student and is determined in the Course description posted on the Resource. The maximum period for mastering the Course may be limited. Upon completion of the Course, the Student may be issued a document confirming completion of the Course. Such a document is issued in the form established by the Contractor, if the issuance of such a document was established in the Course description on the Resource. The Course is studied in groups of Students – Streams. Information on the formation of Streams, the start date of the Course, the duration of the Course and the date of completion of the Course are indicated on the Resource.

1.1.6. Agreement - a contract for the provision of services concluded between the Contractor and the Student in writing by exchanging electronic documents, namely by accepting the Offer by the Student in the manner provided for in Section 4 of this Offer. The subject of the Agreement is established in Section 2 of this Offer.
1.1.7. Personal Account - a special subsection at https://smmelpodium.getcourse.ru, that allows a registered and authorized Student to access the management of the Student's Personal Information, the management of the Courses received and purchased by the Student, and the Materials provided as part of the Course.
1.1.8. E-mail address - the e-mail address of the Party. The e-mail address of the Contractor is the e-mail address specified in Section 11 of the Offer. The Student's email address is the email address specified and confirmed by the Student when registering on the Resource and / or specified and confirmed by the Student in the Personal Account. 1.1.9. Regulatory documents - documents that regulate the legal relationship between the Student and the Contractor. Regulatory documents consist of this Offer and: A) Privacy and Personal Data Processing Policy - a document posted at: https://elpodium.org/policy, which defines the rules and conditions for processing the Student's Personal Information by the Contractor; B) Information (content) of the Resource - any information published by the Contractor on the Resource and available to the visitor of the Resource on legal grounds. All documents listed in this paragraph
1.1.9. are referred to collectively as the "Regulatory Documents", and each of them individually is referred to as the "Regulatory Document". All Regulatory Documents, regardless of whether they are applicable to a specific person, always act as annexes to this Agreement, are its integral part and have the same legal force and effect as if they were defined or reproduced in the main part of the Agreement, and any reference to the Offer/Agreement automatically includes a reference to all Regulatory Documents.
1.1.10. Stream is a group of Students studying a Course together. Information on the formation of the Streams is displayed on the Resource.
1.1.11. Payment system - a third party, namely LLC Stripe, Inc., which provides the Student, at his request, with services for the implementation of settlements between the Student and the Contractor, such services are provided directly by the Payment system without the participation of the Contractor in the manner and under the conditions established in: Consumer Terms of Service, available at: https://stripe.com/en-pl/legal/consumer. For obligations arising from the use of the services of the Payment System by the Student, the Payment System is directly responsible to the Student, including the actions to create the Linked Bank Card.
1.1.12. Linked bank card - one or more of the Student's bank cards, the details of which are specified by the Student when using the Resource and are available to the Contractor in the Resource, including in the Student's Personal Account. Linking a bank card may require a test confirmation payment: transfer of a check amount of non-cash funds from the Student's card to the Payment System, followed by cancellation of the payment and return of the check amount to the Student's card or without such a return. The transfer of the bank card data and the linkage of the bank card are carried out by the Student in the manner prescribed on the Resource and in the documents regulating the use of the services of the Payment System.
1.1.13. Self-study tasks - tasks for the Student's independent self-study posted on the Resource.
1.1.14. Cost or Agreement Price – the cost of all Services ordered by the Student. 1.1.15. Parties - joint mention of the Contractor and the Student, Party - mention of the Contractor and the Student separately.
1.1.16. Refund Amount - the Cost or part of the Cost to be returned at the request of the Student in accordance with the terms of the Offer.
1.1.17. Materials - any information (text, audio, video, any other form and content), access to which is provided by the Contractor to the Student during the execution of the Agreement.
1.1.18. Services - services provided by the Contractor to the Student consisting in the provision of the opportunity for the Student to access Course / Courses selected by the Student on the Resource remotely (through the Internet) in the manner and on the terms established by the Regulatory Documents.

2.1. The subject of the Offer is the provision of Services by the Contractor to the Student, in the manner and on the terms stipulated by the Offer.
2.2. The description of the Course as well as the full Cost, procedure and methods of payment for the Cost are all posted on the Resource.
2.3. If the Offer is accepted by the Student, the Contractor undertakes to provide the Student with the Services within the Course on a reimbursable basis according to the Cost, and the Student undertakes to accept the Services rendered and pay the Contractor their Cost.
2.4. All Materials provided by the Contractor as part of the Course become available to the Student for self-study from the moment set on the Resource for the corresponding Course.
2.5. If the Student is sent by an organization (a legal entity or an individual entrepreneur, an organization of any other form), then such Student, and not the Organization, will be considered the recipient of the Services, even if the Organization pays the Cost or part of the Cost of the Services for such a Student in accordance with the Agreement. By sending the student to the Resource, paying the Cost or part of the Cost of the Services provided to the Student, such Organization and the Student themselves jointly confirm that the authorized representative of the Organization is fully acquainted and has no objections to the terms of the Agreement concluded by the Contractor with the Student. Exceptions to this rule are valid if they are drawn up in a separate agreement with the participation of the Contractor and the Organization.
2.2. The description of the Course as well as the full Cost, procedure and methods of payment for the Cost are all posted on the Resource.
2.3. If the Offer is accepted by the Student, the Contractor undertakes to provide the Student with the Services within the Course on a reimbursable basis according to the Cost, and the Student undertakes to accept the Services rendered and pay the Contractor their Cost.
2.4. All Materials provided by the Contractor as part of the Course become available to the Student for self-study from the moment set on the Resource for the corresponding Course.
2.5. If the Student is sent by an organization (a legal entity or an individual entrepreneur, an organization of any other form), then such Student, and not the Organization, will be considered the recipient of the Services, even if the Organization pays the Cost or part of the Cost of the Services for such a Student in accordance with the Agreement. By sending the student to the Resource, paying the Cost or part of the Cost of the Services provided to the Student, such Organization and the Student themselves jointly confirm that the authorized representative of the Organization is fully acquainted and has no objections to the terms of the Agreement concluded by the Contractor with the Student. Exceptions to this rule are valid if they are drawn up in a separate agreement with the participation of the Contractor and the Organization.
3.1. The student has the right to:
3.1.1. Receive information about the conditions for the provision of Services by the Contractor and other information regarding the Services in the ways indicated on the Resource. If you have any questions, contact the Contractor's support service at the e-mail address.
3.1.2. Purchase the Course for the Cost indicated on the Resource at the time the Student applies for the Course.
3.1.3. Refuse the acquired Course and terminate the Agreement in accordance with section 7 of the Offer. Such a refusal entails the termination of all obligations and obligations of the Contractor to the Student provided for by the Offer. In case of termination of the Agreement, the Student is not issued a certificate indicating the volume of the Course completed by the Student, nor are any other certificates issued.
3.1.4. Exercise other rights of the Customer of the Services provided to the Student in accordance with applicable law.
3.1.5. Carry out a break in the study of the Course in agreement with the Contractor. The Student informs the Contractor about such a break by sending an application to the Contractor's e-mail address. At the same time, the Contractor may refuse to provide the Student with such a break if such a break is not possible for any reason of any nature. 3.2. The student is obliged to:
3.2.1. Read the Offer in detail, with other Regulatory Documents and accept them in full when accepting the Offer.
3.2.2. Refrain from any actions that violate the Contractor's rights to the results of intellectual activity, in particular, do not copy, record, reproduce, distribute any results of the Contractor's intellectual activity without the written permission of the Contractor, immediately inform the Contractor of any known facts of violation of the Contractor's exclusive rights.
3.2.3. Do not provide authentication data for accessing the Resource, the data of the Linked bank card to any third parties.
3.2.4. The Student acknowledges that he has no claims against the Contractor for the data incorrectly provided by the Student if the Student himself did not verify their correctness at the time of ordering the Services and in the process of providing the Services.
3.2.5. Perform self-study assignments on time and in the manner prescribed by the terms of the relevant Course. When completing assignments, do not use completed assignments and / or parts of completed assignments of other Students or any other third parties.
3.2.6. When using the Resource keep up with the rules of morality and ethical behavior in relation to any person, including, but not limited to: do not use profanity, do not insult, do not make discriminatory statements for any reason, do not carry out other illegal and antimoral actions against any person, comply with all the rules of the Regulatory Documents in terms of conduct.
3.2.7. Before the start of the Course of your Stream, pay the Cost indicated on the Resource in the manner provided for in clause 5.3. of the Offer.
3.3. The Contractor has the right to:
3.3.1. Require the Student to provide the Contractor with the information necessary to provide the Services, as well as pay the Cost of Services in the manner and on the terms set forth in the Regulatory Documents, to suspend the provision of any Services and / or suspend the Student's access to the Resource or individual functions of the Resource until the requested information / Cost is provided.
3.3.2. Set and change the Cost unilaterally and at any time by posting the relevant information on the Resource. The Student agrees that he will independently monitor such changes on the Resource and if the changes were published on the Resource, the Student is not entitled to refer to the lack of information about them.
3.3.3. Deny the Student the provision of Services if the Student fails to comply with any of the provisions of the Regulatory Document.
3.3.4. Upon termination of the Agreement, restrict the Student's ability to use the Materials.
3.4. The contractor is obliged to:
3.4.1. Provide Services to the Student in accordance with the Regulatory Documents. 3.4.2. Provide the Student, at his request, with information about the conditions for the provision of Services by the Contractor.
3.4.3. Do not use the Student's personal data provided to the Contractor during the execution of the Agreement for purposes not related to the execution of the Privacy Policy and the processing of personal data.
3.4.4. Make changes to the course. The Student agrees that he will independently monitor such changes on the Resource and if the changes were published on the Resource, the Student is not entitled to refer to the lack of information about them.
3.1.1. Receive information about the conditions for the provision of Services by the Contractor and other information regarding the Services in the ways indicated on the Resource. If you have any questions, contact the Contractor's support service at the e-mail address.
3.1.2. Purchase the Course for the Cost indicated on the Resource at the time the Student applies for the Course.
3.1.3. Refuse the acquired Course and terminate the Agreement in accordance with section 7 of the Offer. Such a refusal entails the termination of all obligations and obligations of the Contractor to the Student provided for by the Offer. In case of termination of the Agreement, the Student is not issued a certificate indicating the volume of the Course completed by the Student, nor are any other certificates issued.
3.1.4. Exercise other rights of the Customer of the Services provided to the Student in accordance with applicable law.
3.1.5. Carry out a break in the study of the Course in agreement with the Contractor. The Student informs the Contractor about such a break by sending an application to the Contractor's e-mail address. At the same time, the Contractor may refuse to provide the Student with such a break if such a break is not possible for any reason of any nature. 3.2. The student is obliged to:
3.2.1. Read the Offer in detail, with other Regulatory Documents and accept them in full when accepting the Offer.
3.2.2. Refrain from any actions that violate the Contractor's rights to the results of intellectual activity, in particular, do not copy, record, reproduce, distribute any results of the Contractor's intellectual activity without the written permission of the Contractor, immediately inform the Contractor of any known facts of violation of the Contractor's exclusive rights.
3.2.3. Do not provide authentication data for accessing the Resource, the data of the Linked bank card to any third parties.
3.2.4. When accepting the Offer, provide the Contractor with the necessary information, including the last name, first name of the Student, the Student's phone number, the Student's email address, as well as other information, the list of which is specified in the questionnaires provided to the Student for filling out when ordering the Services and in the process of providing the Services. The Student acknowledges that he has no claims against the Contractor for the data incorrectly provided by the Student if the Student himself did not verify their correctness at the time of ordering the Services and in the process of providing the Services.
3.2.5. Perform self-study assignments on time and in the manner prescribed by the terms of the relevant Course. When completing assignments, do not use completed assignments and / or parts of completed assignments of other Students or any other third parties.
3.2.6. When using the Resource keep up with the rules of morality and ethical behavior in relation to any person, including, but not limited to: do not use profanity, do not insult, do not make discriminatory statements for any reason, do not carry out other illegal and antimoral actions against any person, comply with all the rules of the Regulatory Documents in terms of conduct.
3.2.7. Before the start of the Course of your Stream, pay the Cost indicated on the Resource in the manner provided for in clause 5.3. of the Offer.
3.3. The Contractor has the right to:
3.3.1. Require the Student to provide the Contractor with the information necessary to provide the Services, as well as pay the Cost of Services in the manner and on the terms set forth in the Regulatory Documents, to suspend the provision of any Services and / or suspend the Student's access to the Resource or individual functions of the Resource until the requested information / Cost is provided.
3.3.2. Set and change the Cost unilaterally and at any time by posting the relevant information on the Resource. The Student agrees that he will independently monitor such changes on the Resource and if the changes were published on the Resource, the Student is not entitled to refer to the lack of information about them.
3.3.3. Deny the Student the provision of Services if the Student fails to comply with any of the provisions of the Regulatory Document.
3.3.4. Upon termination of the Agreement, restrict the Student's ability to use the Materials.
3.4. The contractor is obliged to:
3.4.1. Provide Services to the Student in accordance with the Regulatory Documents. 3.4.2. Provide the Student, at his request, with information about the conditions for the provision of Services by the Contractor.
3.4.3. Do not use the Student's personal data provided to the Contractor during the execution of the Agreement for purposes not related to the execution of the Privacy Policy and the processing of personal data.
3.4.4. Make changes to the course. The Student agrees that he will independently monitor such changes on the Resource and if the changes were published on the Resource, the Student is not entitled to refer to the lack of information about them.
4.1. The provision of Services to the Student is carried out exclusively on the terms of the Offer only in case of full and unconditional acceptance by the Student. Partial acceptance or acceptance on condition / on conditions is not allowed. If the Student does not fully accept the terms of the Offer and other Regulatory Documents to which the Offer refers, the provision of Services to him by the Contractor is not performed.
4.2. Full acceptance of the Offer is considered performed upon the completion of the following actions by the Student:
4.2.1. Selecting a Course on the Resource and pressing the button "Register", "Get the course", "Start learning" or similar in meaning;
4.2.2. Successfully completing the authorization on the Resource;
4.2.3. Accepting the Offer and other Regulatory Documents;
4.2.4. Filling the check-box “I accept the Terms of Service and the Privacy Policy”.
4.3. From the moment of performing all the actions specified in clauses 4.2.1. – 4.2.4. the offer is considered accepted by the Student, which is a confirmation of the conclusion of the Agreement.
4.4. To accept the Offer, an individual can be registered/authorized using the Resource, or using an account provided by a third party (“Login with…” option), in the latter case, such a third party may establish additional registration/authorization rules, with which the acceptor undertakes to familiarize himself and which the Contractor does not determine.
4.2. Full acceptance of the Offer is considered performed upon the completion of the following actions by the Student:
4.2.1. Selecting a Course on the Resource and pressing the button "Register", "Get the course", "Start learning" or similar in meaning;
4.2.2. Successfully completing the authorization on the Resource;
4.2.3. Accepting the Offer and other Regulatory Documents;
4.2.4. Filling the check-box “I accept the Terms of Service and the Privacy Policy”.
4.3. From the moment of performing all the actions specified in clauses 4.2.1. – 4.2.4. the offer is considered accepted by the Student, which is a confirmation of the conclusion of the Agreement.
4.4. To accept the Offer, an individual can be registered/authorized using the Resource, or using an account provided by a third party (“Login with…” option), in the latter case, such a third party may establish additional registration/authorization rules, with which the acceptor undertakes to familiarize himself and which the Contractor does not determine.
5.1. To order the Service, the Student independently chooses the Course to which he would like to receive access from the Contractor from among the Courses offered on the Resource, accepts the Offer and other Regulatory Documents and concludes the Agreement. When registering on the Resource (with or without the creation of a Personal Account on the Resource), the Student transfers to the Contractor all the necessary information about himself, the list of which is defined in clause 3.2.4. of the Offer, and also, if desired, transfers to the Contractor additional information, the list of information processed by the Contractor about the Student, the conditions and rules for its processing are defined in the Privacy Policy.
5.2. The Cost and procedure for payment are indicated on the Resource.
5.3. The Student pays the Course Cost in the form of transferring non-cash funds to the Contractor by choosing one of the payment methods offered on the Resource.
5.4. Payment by a third party for the Student is carried out in the same manner.
5.5. Payment, as a general rule, is carried out by debiting non-cash funds in favor of the Contractor from the Student's Linked Bank Card. The Resource may offer other forms of payment for both all Courses and individual Courses selected by the Contractor
5.6. Access to the Course is provided only after the payment is made.
5.7. Automatic write-off of funds in accordance with this section 5 of the Offer begins to occur on an automatic basis only if the following conditions are met: A) the Student has accepted of the Offer; B) the Student has submitted all the necessary details of the Linked Card; C) the Student has activated the function of the Payment system for debiting funds on an automatic basis from the Linked Card in the following way: by placing a check-box (“tick”) in the field “Automatically debit funds” or similar in meaning.
5.8. Confirmation of the payment is provided to the Student by the Payment System in accordance with the rules established by the applicable Law and the rules of the Payment System.
5.9. The cost of the Course is considered paid by the Student from the moment the full Cost is transferred to the account of the Contractor.
5.10. The Cost transferred by the Student begins to be deducted daily in equal installments throughout the entire period of mastering the Course, starting from the start date of the Course for the Stream indicated on the Resource, including during the break taken by the Student in mastering the Course.
5.11. The Contractor has the right to terminate the Agreement and terminate the Student's access to all Materials and Courses at any time by notifying the Student about this by e-mail address and / or in the Personal Account or in any other way provided for by the Regulatory Document, in the following cases:
A) non-payment within the payment term stipulated by the Offer / on the Site;
B) violation of the rules of the Regulatory document;
C) provision of incorrect, distorted or offensive information;
D) failure to comply with the rules of morality and ethical behavior in relation to any persons, including, but not limited to: the use of foul language, insults, discriminatory statements on any grounds, other illegal or immoral actions in relation to any persons.
5.2. The Cost and procedure for payment are indicated on the Resource.
5.3. The Student pays the Course Cost in the form of transferring non-cash funds to the Contractor by choosing one of the payment methods offered on the Resource.
5.4. Payment by a third party for the Student is carried out in the same manner.
5.5. Payment, as a general rule, is carried out by debiting non-cash funds in favor of the Contractor from the Student's Linked Bank Card. The Resource may offer other forms of payment for both all Courses and individual Courses selected by the Contractor
5.6. Access to the Course is provided only after the payment is made.
5.7. Automatic write-off of funds in accordance with this section 5 of the Offer begins to occur on an automatic basis only if the following conditions are met: A) the Student has accepted of the Offer; B) the Student has submitted all the necessary details of the Linked Card; C) the Student has activated the function of the Payment system for debiting funds on an automatic basis from the Linked Card in the following way: by placing a check-box (“tick”) in the field “Automatically debit funds” or similar in meaning.
5.8. Confirmation of the payment is provided to the Student by the Payment System in accordance with the rules established by the applicable Law and the rules of the Payment System.
5.9. The cost of the Course is considered paid by the Student from the moment the full Cost is transferred to the account of the Contractor.
5.10. The Cost transferred by the Student begins to be deducted daily in equal installments throughout the entire period of mastering the Course, starting from the start date of the Course for the Stream indicated on the Resource, including during the break taken by the Student in mastering the Course.
5.11. The Contractor has the right to terminate the Agreement and terminate the Student's access to all Materials and Courses at any time by notifying the Student about this by e-mail address and / or in the Personal Account or in any other way provided for by the Regulatory Document, in the following cases:
A) non-payment within the payment term stipulated by the Offer / on the Site;
B) violation of the rules of the Regulatory document;
C) provision of incorrect, distorted or offensive information;
D) failure to comply with the rules of morality and ethical behavior in relation to any persons, including, but not limited to: the use of foul language, insults, discriminatory statements on any grounds, other illegal or immoral actions in relation to any persons.
6.1. In order to link a bank card to the Resource, the Student must provide the Payment System and the Contractor with the following categories of data through the Resource:
A) bank card number;
B) validity period of the bank card;
C) bank card security code. If the bank card details are correct, valid and the use of this card within the Resource is technically possible, the specified bank card acquires the status of Linked and can be used to pay the Cost.
6.2. When specifying the data from clause 6.1. of the Agreement and upon further use of the Linked Card, the Student confirms and guarantees that he/she provides accurate and complete information about a valid bank card issued in his/her name; compliance with the rules of international payment systems and the requirements of the issuing bank that issued the Linked Card, including with regard to the procedure for conducting cashless payments. Violation of these rules will be considered a material breach of the Agreement.
6.3. The Contractor reserves the right at any time to require the Student to confirm the data specified by him within the Resource, including the data of the Linked Card, and to request, in this regard, confirmation of the identity of the Student by both personal presence at the Contractor's office, or a provision of proving documents in electronic form (in particular, identity documents).
A) bank card number;
B) validity period of the bank card;
C) bank card security code. If the bank card details are correct, valid and the use of this card within the Resource is technically possible, the specified bank card acquires the status of Linked and can be used to pay the Cost.
6.2. When specifying the data from clause 6.1. of the Agreement and upon further use of the Linked Card, the Student confirms and guarantees that he/she provides accurate and complete information about a valid bank card issued in his/her name; compliance with the rules of international payment systems and the requirements of the issuing bank that issued the Linked Card, including with regard to the procedure for conducting cashless payments. Violation of these rules will be considered a material breach of the Agreement.
6.3. The Contractor reserves the right at any time to require the Student to confirm the data specified by him within the Resource, including the data of the Linked Card, and to request, in this regard, confirmation of the identity of the Student by both personal presence at the Contractor's office, or a provision of proving documents in electronic form (in particular, identity documents).
7.1. Refunds for the Course purchased by the Student are possible only in the manner and on the terms established by the Offer. In accordance with current legislation, the provisions of this section 7 the Contractor also sets out on the separate page about refunds: https://elpodium.org/refund.
7.2. The Contractor undertakes to refund to the same bank card from which the Cost was paid, the Refund Amount minus the Cost for the number of days from the start date of the Course for the Student's Stream until the day the refund application was submitted, inclusive. The Refund Amount is calculated by the Contractor from the first business day following the date of the Student's refund request, made by submitting an application to the Contactor’s e-mail address.
7.3. The refund amount is determined by the following formula:
7.3.1. The cost of one day of the Course is calculated by the formula: D = X / N1, where D - Cost for one day of the Course, X - Course cost, N1 - the number of days of the Course.
7.3.2. The refund amount is calculated by the formula: S = P – Y x N2, where S – Refund amount, Y - The cost of one day of the Course, P - Cost paid by the Student; N2 - the number of days from the start of the Course until the first business day following the date of the Student's refund request
7.4. The Contractor has the right to withhold from the Refund Amount the actual costs incurred by the Contractor for the execution of the Agreement.
7.5. The Contractor does not reimburse the Student for any losses: direct, indirect, indirect, additional, actual damage, lost profits, and so on.
7.6. The term for the return of funds by the Contractor is 10 (ten) calendar days from the moment the Student sends a notice of the Student's refusal from the Course, subject to the timely and complete provision of the documents necessary for the refund by the Student.
7.7. The Services rendered during the relevant period are considered to be rendered by the Contractor properly and accepted by the Student in full, if within three calendar days after the end of the period of Services provision the Contractor has not received any reasoned written objections from the Student.
7.8. The Act of Services rendered shall be done by the Contractor in electronic form and sent to the Student in electronic form to the Student's Email Address only upon the Student's prior request sent to the Contractor's Email Address. The reporting period for the purposes of the Act is a calendar month. With the exception of the obligation to provide such Act, the Contractor is not obliged to provide the Student with documents, including reports of any kind.
7.2. The Contractor undertakes to refund to the same bank card from which the Cost was paid, the Refund Amount minus the Cost for the number of days from the start date of the Course for the Student's Stream until the day the refund application was submitted, inclusive. The Refund Amount is calculated by the Contractor from the first business day following the date of the Student's refund request, made by submitting an application to the Contactor’s e-mail address.
7.3. The refund amount is determined by the following formula:
7.3.1. The cost of one day of the Course is calculated by the formula: D = X / N1, where D - Cost for one day of the Course, X - Course cost, N1 - the number of days of the Course.
7.3.2. The refund amount is calculated by the formula: S = P – Y x N2, where S – Refund amount, Y - The cost of one day of the Course, P - Cost paid by the Student; N2 - the number of days from the start of the Course until the first business day following the date of the Student's refund request
7.4. The Contractor has the right to withhold from the Refund Amount the actual costs incurred by the Contractor for the execution of the Agreement.
7.5. The Contractor does not reimburse the Student for any losses: direct, indirect, indirect, additional, actual damage, lost profits, and so on.
7.6. The term for the return of funds by the Contractor is 10 (ten) calendar days from the moment the Student sends a notice of the Student's refusal from the Course, subject to the timely and complete provision of the documents necessary for the refund by the Student.
7.7. The Services rendered during the relevant period are considered to be rendered by the Contractor properly and accepted by the Student in full, if within three calendar days after the end of the period of Services provision the Contractor has not received any reasoned written objections from the Student.
7.8. The Act of Services rendered shall be done by the Contractor in electronic form and sent to the Student in electronic form to the Student's Email Address only upon the Student's prior request sent to the Contractor's Email Address. The reporting period for the purposes of the Act is a calendar month. With the exception of the obligation to provide such Act, the Contractor is not obliged to provide the Student with documents, including reports of any kind.
8.1. The Agreement comes into force from the moment of acceptance of the Offer and is valid indefinitely. Termination of the Agreement by the will of one of the Parties is allowed. Such termination will not be considered a unilateral waiver. At the same time, the Rules of the Agreement will continue to apply to the entire period from the moment the Agreement is concluded until the moment it is terminated by the will of one of the Parties. The stated termination procedure applies by default to all Regulatory Documents, unless the relevant Regulatory Document expressly provides for a different termination procedure.
8.2. In the event that the Contractor alienates the rights to the Resource in favor of a third party (for example, when selling or otherwise transferring a business or part of a business), the Student hereby agrees to the assignment (transfer) of all rights and obligations under this Agreement to this third party and to the novation of obligations.
8.3. The Contractor has the right to change the terms of the Regulatory Document, in connection with which the Student undertakes to independently check the relevance of the text of the latter. The Contractor is considered to have changed the terms of the Regulatory Document, and the Student is considered to be aware of the fact of making changes at the time such changes are posted on the Resource. The editions of the Regulatory Document that have become invalid are available on the Resource in the archive.
8.4. The continued use of the Resource by the Student after the Contractor makes changes to the text of the Regulatory Document means acceptance of the offer of the Regulatory Document in the new edition and the Student's consent to the proposed change.
8.5. If any provision of the Offer is or becomes invalid due to a contradiction or amendment to the current legislation, then this is not a basis for suspending the validity of the remaining provisions of the Offer.
8.6. In everything else that is not provided for by the text of the Offer, the Parties are guided by the current legislation of the Republic of Lithuania.
8.2. In the event that the Contractor alienates the rights to the Resource in favor of a third party (for example, when selling or otherwise transferring a business or part of a business), the Student hereby agrees to the assignment (transfer) of all rights and obligations under this Agreement to this third party and to the novation of obligations.
8.3. The Contractor has the right to change the terms of the Regulatory Document, in connection with which the Student undertakes to independently check the relevance of the text of the latter. The Contractor is considered to have changed the terms of the Regulatory Document, and the Student is considered to be aware of the fact of making changes at the time such changes are posted on the Resource. The editions of the Regulatory Document that have become invalid are available on the Resource in the archive.
8.4. The continued use of the Resource by the Student after the Contractor makes changes to the text of the Regulatory Document means acceptance of the offer of the Regulatory Document in the new edition and the Student's consent to the proposed change.
8.5. If any provision of the Offer is or becomes invalid due to a contradiction or amendment to the current legislation, then this is not a basis for suspending the validity of the remaining provisions of the Offer.
8.6. In everything else that is not provided for by the text of the Offer, the Parties are guided by the current legislation of the Republic of Lithuania.
9.1. The Student agrees to receive messages from the Contractor at the e-mail address and / or phone number specified by the Student when using the Resource (hereinafter referred to as "Notifications").
9.2. The student has the right to revoke the consent to receive Notifications.
9.3. The Contractor may use Notifications for:
A) informing the Student about the functions of the Platform;
B) informing the Student about changes in the Regulatory Documents;
C) sending messages and mailings of informational nature;
D) sending messages and mailings of advertising nature, subject to obtaining consent in a manner that meets the requirements of the applicable Law.
9.4. The Student, in turn, undertakes to send all messages, notices, statements and documents (including messages that are responses to Notifications) to the Contractor's e-mail address. Documents that, in the opinion of the Contractor, have legal significance, the Contractor may request in paper form. Such documents, as well as documents that the Student himself wishes to send in paper form, are sent to the address of the Contractor's location specified in section 11 of the Offer.
9.2. The student has the right to revoke the consent to receive Notifications.
9.3. The Contractor may use Notifications for:
A) informing the Student about the functions of the Platform;
B) informing the Student about changes in the Regulatory Documents;
C) sending messages and mailings of informational nature;
D) sending messages and mailings of advertising nature, subject to obtaining consent in a manner that meets the requirements of the applicable Law.
9.4. The Student, in turn, undertakes to send all messages, notices, statements and documents (including messages that are responses to Notifications) to the Contractor's e-mail address. Documents that, in the opinion of the Contractor, have legal significance, the Contractor may request in paper form. Such documents, as well as documents that the Student himself wishes to send in paper form, are sent to the address of the Contractor's location specified in section 11 of the Offer.
10.1. Applicable Law and Jurisdiction
10.1.1. The place of conclusion and the place of execution of the Regulatory Documents is always the location of the Contractor, and the law applicable to the relations between the Parties is always the law of the Republic of Lithuania, regardless of where the Student or the equipment used to conclude and execute the Regulatory Document is located. 10.1.2. Any exceptions to this rule are valid only if they are agreed as part of a separate written agreement of the Parties.
10.1.3. The Regulatory Documents may not be confidential if their offers are public, but non-public agreements entered into in connection with the Regulatory Documents may.
10.1.4. In case of entry into force of changes in the legislation that make it impossible and (or) significantly complicate the implementation of any provisions of the Regulatory Document, the Parties undertake to conclude a new Regulatory Document in such a way that it contains changes that bring it into line with the amended requirements of the legislation and in to the greatest extent possible consistent with the original purposes of his conclusion.
10.2. Rules of Interpretation
10.2.1. In the event that the Regulatory Document is available in several languages, the English version shall have legal priority for interpretation.
10.2.2. The terms "agreement" and "contract" are equivalent for all Regulatory Documents.
10.2.3. In each Regulatory Document, the words "include", "includes" and "including" are always followed by the phrase "but not limited to", which does not limit the general nature of what precedes these words.
10.2.4. In each Regulatory Document the word “or” is understood by default as an enumeration, that is, similarly to “and”, if it does not directly follow from the meaning of the text that the word “or” means exactly the choice of one of the options.
10.2.5. It is considered that in each Regulatory Document the meaning of a Word used with a capital letter is no different from the meaning of the same word used with a lowercase letter.
10.3. Resolution of disputes and disagreements
10.3.1. All disputes and disagreements arising between the Parties will be resolved in the complaint procedure. The complaint is subject to transfer to the Party in electronic form at the e-mail address, with documents substantiating the claims being attached. The received complaint is considered by the Party within 30 (thirty) business days from the date of its receipt.
10.3.2. All disputes and disagreements not resolved in the complaint procedure are resolved exclusively by the appropriate court at the location of the Contractor. 10.4. Responsibility
10.4.1. The student bears all responsibility in accordance with the current legislation for the consequences resulting from the provision of false or deliberately false information, and is responsible for the violation of the rights and interests of other persons as a result of such actions. The Student agrees that if he provides the Contractor with inaccurate or knowingly false information, the Contractor reserves the right to refuse to provide the Services to the Student even if the Student pays the Cost.
10.4.2. The Contractor is not responsible for non-compliance with the Student's expectations and / or his / her subjective assessment and views on the Resource, Courses, employees of the Contractor, other persons involved by the Contractor in the execution of the Agreement.

The holding of such events is governed by the relevant sections of the Regulatory documents, and in cases where the Law requires the publication of the conditions or rules of such an event in the form of a separate document, the holding of the event is additionally governed by such separately published conditions and rules. 10.7. Links to third party resources
10.7.1. The resource and/or Notifications received by the Student from the Contractor may contain links to other sites on the Internet, owned and operated by third parties. The specified third parties and their data are not checked and should not be checked by the Contractor for compliance with the requirements of reliability, completeness, legality. The Contractor is not responsible for information posted on third-party websites to which the Student gains access by independently switching to them from the Platform, including for any statements, appeals, offers, offers, advertising, as well as for the availability of such sites or such data and for the consequences of their use by the Student. A link placed on the Platform in any form to any site, product, product, service, any information of a commercial or non-commercial type, is not an approval or recommendation of these products (services, activities) by the Contractor.
10.8. Use of electronic signatures
10.8.1. In relations between the Parties electronic documents certified by a simple electronic signature may be used.
10.8.2. A simple electronic signature will be recognized as an electronic signature that confirms the fact of its formation by the Student through the use of one of the following signature keys: a) The login and the password of the Student; b) The e-mail address of the Student, specified and confirmed when using the Platform.
10.8.3. Electronic documents signed with a simple electronic signature are recognized as equivalent to paper documents signed with a handwritten signature.
10.8.4. The Contractor determines the Student to whom the simple electronic signature corresponds according to the login and the password used by the Student in case of performing any actions to use the functions of the Platform, or according to the email address specified and confirmed by the Student in case of receiving messages from such an address.
10.8.5. Any actions performed using a simple electronic signature of a certain Student are considered to be committed by such Student.
10.8.6. In case of unauthorized access to the key consisting of the login and the password, in case of its loss or disclosure to third parties, the Student is obliged to immediately inform the Contractor about this by sending an e-mail message from the e-mail address specified and confirmed when using the Platform.
10.8.7. In case of unauthorized access to the key consisting of the e-mail, in case of loss of data for access to it or disclosure of data for access to it to third parties, the Student is obliged to immediately replace such an address with a new one in the settings of the Platform and then report the event by sending an email from the new e-mail address. 10.9. DISCLAIMER OF WARRANTY. PROVIDING "AS IS"
10.9.1. The Student and the Contractor acknowledge that the Resource is a complex technological object that requires constant maintenance, including constant changes to it and testing of these changes. All features of the Resource and the Resource itself are provided to you on an “AS IS” legal basis as permitted by applicable Law when granting the right to use the software. This includes the following:
a) The Contractor does not accept any responsibility for the compliance of the Platform with the goals, expectations, ideas, tastes, views of the Student;
b) The Contractor cannot guarantee that the functions of the Platform will always be provided continuously, quickly, reliably, without errors, that the results that can be obtained using the Platform will be accurate and reliable and can be used for any purpose or in any capacity;
c) Under no circumstances may the Platform be considered a reliable and precise tool for determining facts, including facts of legal significance: for example, the Platform cannot be used to prove or disprove authorship, establish information about the rights of authors and rights related to copyright, exclusive right, right to use, any other rights;
d) The Student independently evaluates the compatibility of his equipment with the functions of the Platform, independently configures his equipment for data exchange with the Platform, independently bears the risk of the consequences of using the functions of the Platform on his equipment, including for the damage that this use may cause to the equipment of the Student or equipment of third parties, including loss of data or any harm; e) The Contractor is not liable for any kind of losses resulting from the use of the Platform as a whole or its individual functions;
f) Since the Platform is constantly in the process of adding and updating functionality, and from time to time is in the mode of testing new functions, the form, appearance, nature, characteristics of the functions of the Platform may change from time to time without prior notice to the Student and without reflecting each such change. in any regulatory documents. The Contractor has the right, at its sole discretion, to terminate or change (temporarily or permanently) the provision of certain functions to all Student, certain categories of Student or a specific Student in particular, without prior notice.
g) The Contractor has the right to set restrictions on certain functions of the Platform for all Students, for certain categories of Students, for a specific Student.
10.1.1. The place of conclusion and the place of execution of the Regulatory Documents is always the location of the Contractor, and the law applicable to the relations between the Parties is always the law of the Republic of Lithuania, regardless of where the Student or the equipment used to conclude and execute the Regulatory Document is located. 10.1.2. Any exceptions to this rule are valid only if they are agreed as part of a separate written agreement of the Parties.
10.1.3. The Regulatory Documents may not be confidential if their offers are public, but non-public agreements entered into in connection with the Regulatory Documents may.
10.1.4. In case of entry into force of changes in the legislation that make it impossible and (or) significantly complicate the implementation of any provisions of the Regulatory Document, the Parties undertake to conclude a new Regulatory Document in such a way that it contains changes that bring it into line with the amended requirements of the legislation and in to the greatest extent possible consistent with the original purposes of his conclusion.
10.2. Rules of Interpretation
10.2.1. In the event that the Regulatory Document is available in several languages, the English version shall have legal priority for interpretation.
10.2.2. The terms "agreement" and "contract" are equivalent for all Regulatory Documents.
10.2.3. In each Regulatory Document, the words "include", "includes" and "including" are always followed by the phrase "but not limited to", which does not limit the general nature of what precedes these words.
10.2.4. In each Regulatory Document the word “or” is understood by default as an enumeration, that is, similarly to “and”, if it does not directly follow from the meaning of the text that the word “or” means exactly the choice of one of the options.
10.2.5. It is considered that in each Regulatory Document the meaning of a Word used with a capital letter is no different from the meaning of the same word used with a lowercase letter.
10.3. Resolution of disputes and disagreements
10.3.1. All disputes and disagreements arising between the Parties will be resolved in the complaint procedure. The complaint is subject to transfer to the Party in electronic form at the e-mail address, with documents substantiating the claims being attached. The received complaint is considered by the Party within 30 (thirty) business days from the date of its receipt.
10.3.2. All disputes and disagreements not resolved in the complaint procedure are resolved exclusively by the appropriate court at the location of the Contractor. 10.4. Responsibility
10.4.1. The student bears all responsibility in accordance with the current legislation for the consequences resulting from the provision of false or deliberately false information, and is responsible for the violation of the rights and interests of other persons as a result of such actions. The Student agrees that if he provides the Contractor with inaccurate or knowingly false information, the Contractor reserves the right to refuse to provide the Services to the Student even if the Student pays the Cost.
10.4.2. The Contractor is not responsible for non-compliance with the Student's expectations and / or his / her subjective assessment and views on the Resource, Courses, employees of the Contractor, other persons involved by the Contractor in the execution of the Agreement.
